As a result, we do not foresee imposing significant changes in the scope of the existing clinic and team operation model. We approach with respect the standards and organizational culture developed by clinic over the years. Employment conditions for employees and cooperation with doctors remain unchanged.
The subject of the transaction can be both shares in a company and an organized part of a business. In the case of the sale of an organized part of the business, the transformation into a capital company is not necessary.
The property where the clinic operates is not the subject of the transaction. If the seller is also the owner of the property, United Clinics offers a long-term lease agreement on market terms.
The role of the seller after the transaction and their influence on the clinic's ongoing operations depends on the expectations they present and the agreements reached. Our base scenario is that the former owner remains in the role of a medical leader or as a person managing the clinic.
The duration of the transaction process depends on the availability of data for analysis and the transaction structure. Usually, from the moment of receiving the first data to the closing of the transaction, it takes about 3 to 6 months.
We encourage sellers to engage legal advisors specializing in M&A transactions at the earliest possible stage of the process. In our opinion, the involvement of experienced and competent legal advisors is crucial to ensure that the seller has a guarantee that the contractual provisions under consideration are understandable to them and do not deviate unfavorably from market standards.
